Terms of Service
These Terms of Service ("Terms") govern your access to and use of OyeReply ("Service"), provided by Hotreloads Digital Private Limited ("we", "us"), a company incorporated in India. By creating an account or using the Service, you agree to these Terms.
1. Eligibility
You must be at least 18 years old and legally able to enter into contracts to use the Service. You must comply with the Meta Terms of Service and all applicable laws.
2. Accounts and workspaces
You are responsible for safeguarding your account credentials and for all activity in your workspace. Notify us immediately of any unauthorized access at hello@hotreloads.com.
3. Acceptable use
You agree not to use the Service to:
- Send spam, unsolicited bulk messages, or messages outside the Meta-approved 24-hour messaging window or message tag scope.
- Harass, threaten, or abuse other users.
- Distribute malware, phishing content, or otherwise harmful material.
- Violate Meta's Platform Terms or Instagram's Community Guidelines.
- Reverse engineer, scrape, or attempt to bypass any Service or Meta API rate limit or security control.
- Resell the Service or provide it as a managed offering to third parties without our written consent.
We may suspend or terminate accounts that violate this section without notice.
4. Subscriptions and billing
Paid subscriptions are billed in advance via Stripe. Fees are non-refundable except where required by law. We may change pricing with at least 30 days notice; changes take effect at your next billing cycle.
5. Your content
You retain ownership of the content you store or send through the Service ("Your Content"). You grant us a limited, worldwide, non-exclusive license to host, store, transmit, and display Your Content solely to operate and improve the Service for you.
6. Our intellectual property
The Service, including its software, design, and trademarks, is owned by Hotreloads and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.
7. Termination
You may cancel your subscription at any time from your account settings. We may terminate or suspend the Service to you if you breach these Terms or use the Service in a way that risks harm to us, other users, or Meta.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT META WILL CONTINUE TO MAKE ITS APIS AVAILABLE.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD 100. WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
10. Indemnification
You will indemnify and hold us harmless from any claim or demand arising out of your use of the Service in violation of these Terms or applicable law.
11. Governing law
These Terms are governed by the laws of India, without regard to conflict of law principles. The courts located in Bengaluru, Karnataka, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
12. Changes
We may update these Terms. Material changes will be notified by email or in the product. Continued use of the Service after changes take effect constitutes acceptance.
